Companies Act 2014 – Conversion deadlines fast approaching

Under the Companies Act 2014 (CA14), all private limited companies registered in Ireland must convert during 2016 to a new company type – either a private company limited by shares (LTD) or a designated activity company (DAC).

The CA14 deadline to approve conversion to a DAC is 31 August 2016.

The CA14 deadline for conversion to a LTD is 30 November 2016.

There is likely to be a backlog of conversion applications as the deadlines approach, so to be certain of meeting the statutory deadline, to retain control of the decision and to avoid the legal uncertainty of not having an up-to-date written CA14-compliant constitution and the other potential knock-on effects of missing the deadline, early applications are recommended.
